MCA vide Notification No. G.S.R. ………(E) on Thursday, 13th April, 2017 notified Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2017 which shall come into force from the date of publication in Official Gazette.
Vide said notification a new rule has been inserted i.e. Rule 25A – Merger of Amalgamation of a foreign company with a Company and vice versa. Also, Annexure B has been inserted w.r.t. Jurisdictions referred to in clause (a) of sub-rule (2) of Rule 25A. Further, in said provision the foremost condition is that the prior approval of RBI is required.
